General Terms and Conditions


1 Definitions 1.1 Client Is the legal entity or natural person who grants an Assignment to the Contractor. 1.2 Contractor Is Newt Comics & Animations, located in Almere, registered in the trade register of the Chamber of Commerce under number 75026511. 1.3 Quotation/Invoice Is the agreement of purchase or sale of a project/product concluded between the Client and the Contractor. This will be critically reviewed and acted upon. 2 Quotation 2.1 Promotion By signing the Quotation, the Client grants permission to the Contractor, in this case Newt Comics & Animations, to publish the Project/Product on social media platforms of their choosing. This includes, among others, the Facebook, Instagram, Vimeo, and YouTube pages, and the Newt Comics & Animations website. Unless otherwise agreed in writing between both parties, indicating the signatures placed. 2.2 Dates The date stated on the Quotation as the expiration date is the date on which the quotation expires. If this has not been signed and returned by this date, there must have been a response from the Client and a new Quotation must be drawn up. 2.3 Amounts A composite quotation does not obligate Newt Comics & Animations to carry out part of the assignment. Offers or quotations do not automatically apply to future orders. 2.4 Guarantee on work performed The Client has rights to certain processes performed by Newt Comics & Animations if he/she has an agreement on the quotation. This must clearly describe which processes the client is entitled to and how much has to be paid for them in advance. 2.5 Settling disagreements If a Client has a different understanding regarding the price of the Project/Product, it is desirable that he/she has indicated this in writing to Newt Comics & Animations. For multiple projects/products, a package price can also be negotiated. Please understand that Newt Comics & Animations will never go below their set minimum price. 3 Project/Product 3.1 Data The data agreed upon between the Client and the Contractor can sometimes be extended due to adjustments or changes to the Project/Product. A fee will be charged for this if an hourly rate has been agreed upon in the quote, as this will involve additional working hours. This will be specified later on the invoice as an additional hourly charge. 3.2 Usage After delivery of the Project/Product, the Client is free to use it as they wish. 2.1 Promotion also applies here for Use for Newt Comics & Animations, unless otherwise agreed upon in writing between both parties, indicating the signatures placed. 3.3 Liability If a Project/Product does not turn out as the Client expected, but as described in the email, quote, or recorded minutes of discussions between the Client and the Contractor. This allows both parties to fall back on this should problems arise. 3.4 Dispute Resolution If a Client disagrees with the choices made by the Contractor because they are more prudent in terms of time or product quality, the Client is expected to listen to the Contractor's professional thinking and approach. If the Client disagrees, the most practical options will be considered, and the options will not be too inconsistent with the overall Project/Product. 4 Invoice 4.1 Payment Terms Payment terms are adhered to as agreed. If the agreed terms are not adhered to as agreed, Newt Comics & Animations may revoke any previously granted discounts due to non-compliance with agreements. 4.2 Retention of Title Throughout the entire work process, all work produced remains the property of Newt Comics & Animations after full payment has been made. The final project/product then becomes the property of the Client. However, Newt Comics & Animations may always post the Project/Product created up to this time online.
